SQM planea aumento de capital y proyecta invertir US$1.000 millones en litio

SQM anunció, en el último día hábil del 2020, la convocatoria a junta extraordinaria de accionistas para el 22 enero de 2021, para discutir un aumento de capital por hasta US$1.100 millones. Los recursos, en caso que la operación sea aprobada, serán destinados para financiar parte del plan de inversiones de US$1,9 mil millones para los años 2021-2024.                                                                                           

La compañía detalló que el aumento de capital se realizaría mediante la emisión de hasta 22.442.580 acciones serie B, y deberá ser suscrito y pagado en el plazo que acuerde la junta, que no podrá ser superior a 3 años. Para su realización se requiere que los socios de la serie A aprueben la operación (que elige a 7 directores), que estará destinada íntegramente a la serie B. Las acciones que se emitan sólo serán ofrecidas preferentemente y en iguales condiciones a todos los accionistas de dicha serie.                                                                                   

 Otro de los puntos que se discutirá en la junta de accionistas, es la entrega de facultades para que el directorio de SQM determine el precio y condiciones para la colocación de las acciones, incluyendo la inscripción de estas en el los reguladores y bolsas de valores.

Plan de inversiones                                                                                                                                              El plan de inversiones en que trabaja la compañía, y que será financiada en parte importante por esta operación, alcanza un monto total de US$1.900 millones por los próximos cuatro años, de los cuales la mayor parte, aproximadamente US$1.000 millones, están destinados a la expansión de carbonato de litio en Chile, capacidad que pasará de 70.000 toneladas métricas anuales a 180.000 toneladas métricas. A esto se suman las expansiones de producción de hidróxido de litio, de 13.500 toneladas métricas a 30.000 toneladas métricas en Chile, y el proyecto Mount Holland en Australia, que será revisado por el directorio en 2021.                

SQM señaló que “se invertirán aproximadamente US$440 millones en nuestras operaciones mineras de caliche y la capacidad de la planta de nitratos y yodo, de los cuales US$150 millones están relacionados con un proyecto de tubería de agua de mar”.                                

Por último, la firma afirmó que por conceptos de mantención, la inversión anual estimada será en torno a US$120 millones mientras que la depreciación promediaría cerca de US$250 millones por año.                                                                                                                                                       “Con este aumento de capital, SQM demuestra su confianza en el crecimiento de todas sus líneas de negocios, principalmente en litio, pero también el profundo compromiso de nuestra compañía con Chile. SQM es una empresa chilena y eso nos llena de orgullo y a la vez nos hace responsable de contribuir al desarrollo sustentable del país y continuar desarrollando proyectos que crean valor”, señaló Ricardo Ramos, gerente general de SQM.                                                             

En la empresa están confiados en que todos los accionistas se mostrarán a favor de la operación, incluso Tianqi, firma que se ha visto perjudicada financieramente por la pandemia de coronavirus. La operación, indica una fuente cercana al directorio, fue aprobada de una manera unánime, lo que da una señal de cómo podrían actuar los socios asiáticos.                               Ahora iniciarán conversaciones con las AFP para explicar la operación, la que se espera esté aprobada a mediados de marzo, según fuentes de la firma.
